Welcome to Designing Results. These Terms of Service ("Terms") govern your access to and use of the website https://hostingwithservice.com and the web hosting, design, development, and support services provided by Designing Results ("we," "us," or "our").

By accessing our website or purchasing our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Eligibility and Scope

Our services are intended solely for customers located within the United States. By using our services, you represent that you are a resident of the United States, are at least 18 years of age, and have the legal capacity to enter into a binding agreement. We provide services to both individual professionals and business entities.

2. Account Registration and Security

To access certain features or hosting management tools, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Promptly notify us if you discover or suspect any security breaches related to your account or our services.

3. Description of Services

Web Hosting: We provide shared and managed hosting resources. While we strive for maximum availability, hosting is provided on a "reasonable efforts" basis. We do not guarantee 100% uptime. Support is limited to the hosting environment and server-side issues; we are not responsible for troubleshooting third-party software or custom code not developed by us unless covered under a separate maintenance agreement.

Web Design and Development: The specific scope, timeline, and deliverables for design projects are defined in separate project proposals or Statements of Work (SOW). Those documents incorporate these Terms by reference.

4. Acceptable Use Policy (AUP)

You are responsible for all activity occurring under your account and all content hosted on your website. You agree not to use our services for:

  • Illegal Activities: Hosting or transmitting material that violates any U.S. federal, state, or local law.
  • Spam and Abuse: Sending unsolicited bulk email (SPAM), hosting "mail bombs," or running scripts that negatively impact server performance.
  • Infringement: Hosting content that infringes on the intellectual property rights of others.
  • Malware and Hacking: Distributing viruses, worms, or attempting to gain unauthorized access to any network or system.
  • Resource Abuse: Using excessive system resources (CPU, memory, or bandwidth) that interferes with the service of other customers on shared environments.

5. Payments, Billing, and Refunds

  • Recurring Billing: Hosting services are billed on a recurring basis (monthly or annually). Payments are due on the anniversary date of your service.
  • Late Payments: Failure to pay may result in service suspension. If an account remains unpaid for 20 calendar days, we reserve the right to terminate the service and delete associated data.
  • Design Projects: Design work typically requires a non-refundable deposit before work begins. Milestone payments are due as outlined in your project proposal.
  • Refunds: Hosting fees are generally non-refundable once the service period has begun. Refunds for design services are handled on a case-by-case basis depending on the stage of project completion.

6. Intellectual Property

Our Property: We retain all rights, title, and interest in our website, branding, logos, internal tools, and any proprietary software or templates we use to provide the services.

Client Property: You retain ownership of the content you provide (text, images, branding). Upon full payment of all fees, you are granted a license to use the website design and code we develop for you. However, we may use underlying frameworks, open-source components, or "know-how" that remain our property or the property of their respective owners.

7. Customer Data and Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect and use your information. While we perform regular backups for disaster recovery, you are ultimately responsible for maintaining your own off-site backups of your website content and data.

8. Warranties and Disclaimers

Our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by U.S. law, Designing Results disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the services will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability and Indemnification

Limitation of Liability: In no event shall Designing Results be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or use, even if advised of the possibility of such damages. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you for the service in the 6 months preceding the claim.

Indemnification: You agree to indemnify and hold harmless Designing Results from any claims, damages, or expenses (including attorney fees) arising out of your use of the services, your violation of these Terms, or any content hosted on your account.

10. Suspension and Termination

We reserve the right to suspend or terminate your access to the services at any time, without notice, for:

  • Violations of the Acceptable Use Policy.
  • Non-payment of fees.
  • Security risks to our network or other customers. Upon termination, we will provide a limited window of 30 calendar days for you to retrieve your data, after which all data may be permanently deleted from our servers.

11. Changes to Terms and Services

We may modify these Terms or our service offerings at any time. We will notify you of significant changes by posting a notice on our website or sending an email to the address associated with your account. Your continued use of the services after such changes constitutes your acceptance of the new Terms.

12. Governing Law and Venue

These Terms are governed by the laws of the United States and the State of Iowa, without regard to conflict of law principles. Any legal action or proceeding related to these Terms shall be brought exclusively in the state or federal courts located in Johnson County, Iowa.
